Directors - what are you confirming?

We're looking here at the Companies House requirement that Directors must prepare and submit a Confirmation Statement to them every year.


Every company must do this by law, even if your LTD is dormant or hasn't traded during the year.


In essence, Companies House should already have all the information it needs from you, so this is you as Director either confirming something has changed recently, or just stating that everything is as it was.


What are you confirming?


Companies House want to know who's company this really is, so needs up-to-date details including:

  • directors and secretary

  • any people with significant control over the LTD (the PSC's)

  • company’s registered office address

But its also after changes to your:

  • Standard Industrial Classification (SIC) code

  • structure of your share capital

  • up-to date shareholder information

And if nothing has changed?


You still need to file a statement confirming this.

You can submit your statement either using software or directly on line here:


And if I don't?


There’s no penalty for filing your confirmation statements or annual returns late - but the registrar could take steps to strike off your company.


Additionally however, not filing a confirmation statement is a criminal offence - and directors could be personally fined in the criminal courts.


So don't put it off. The process is quick and easy!
